      Who must submit a DIR-3 KYC Form?

      According to a Ministry of Corporate Affairs announcement, by no later than March 31, 2018, if an individual has been assigned a “Director Identification Number (DIN/DPIN)” and that DIN’s status is “Approved,” they must file eForm DIR-3 KYC to update their KYC information on the MCA portal by October 5, 2018. Directors who have been disqualified must also go through this process.

      As of the Financial Year 2019–20, all directors who have been assigned a DIN by the end of the fiscal year and whose DIN status is ‘Approved’ are required to file an eForm DIR-3 KYC by September 30 of the next fiscal year.

      For the 2020–21 financial year, for instance, directors or partners who received a DIN or DPIN by March 31, 2021, must submit the DIR-3 KYC form by September 30, 2021.

      Who can file eForm DIR-3 KYC?

      When submitting their KYC information for the first time to MCA, DIN holders are required to use eForm DIR-3 KYC to provide all of their information. Additionally, the only way for a DIN holder to amend any information about his KYC details is to file an eForm DIR-3 KYC.

      Requirements for filing eForm DIR-3 KYC

      1. The director’s digital signature is necessary to file an eForm
      2. When submitting the form, the director’s phone number and email address are needed (which will be validated by an OTP).
      3. To sign form DIR-3 KYC, a DIN holder and a practicing professional (CA, CS, or CMA) must attest to the form.
      4. Declaration and certification from a working professional, such as a cost and management accountant, company secretary, or chartered accountant.

      Consequences of late submission of Form DIR-3 KYC

      According to Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, each person assigned a DIN as of March 31 of that fiscal year is required to submit his KYC by September 30 of the following financial year, at the latest.

      The DIN holder will have their DIN designated as “Deactivated due to non-filing of DIR-3 KYC” and will remain in that position until their KYC is completed, along with a late fine of ₹5,000, if they fail to file their yearly KYC by the deadline of each financial year.

      Fee for late DIR-3 KYC submission

      In the future, the director can reactivate the DIN by filing the eForm DIR-3 KYC and paying the ₹5,000 late fee. The late fees must be paid by September 30, the financial year in which the form is to be filed, at the latest. Each year, all directors must submit the paperwork by the deadline in order to prevent late costs and DIN deactivation.
